Our clients New York office is seeking a lateral associate with 3–6 years of experience to join their private equity / corporate practice. The ideal candidate will have substantial experience handling M&A and private equity transactions , strong drafting and negotiation skills, and the ability to manage deal work independently in a fast-paced environment. Recent lateral postings in New York for similar roles emphasize midlevel experience, transaction management, and direct client contact. Key responsibilities Represent private equity sponsors, portfolio companies, and strategic buyers in acquisitions, dispositions, minority investments, recapitalizations, and related corporate transactions. Draft and negotiate purchase agreements, disclosure schedules, ancillary documents, equity commitment letters, and other transaction documents. Lead diligence workstreams, coordinate closing processes, and manage deal timelines. Advise clients on corporate governance, structuring, and general business matters. Work closely with partners, clients, lenders, and opposing counsel throughout the transaction. Supervise junior associates and support staff as appropriate. Candidate profile 3–6 years of relevant experience at a BIG law firm , preferably in private equity, M&A, leveraged finance, or general corporate practice. Strong academic credentials and admission to practice in New York or eligibility for admission. Proven ability to run components of transactions with limited supervision. Excellent drafting, analytical, and communication skills. A commercial mindset, strong work ethic, and comfort with direct client interaction. Preferred background Experience representing private equity sponsors in middle-market or upper-market deals. Familiarity with leveraged buyouts, equity rollovers, and management incentive equity.
